General Provisions

These Terms and Conditions of Sale (hereinafter referred to as the "Terms") govern all commercial transactions, sales agreements, and orders placed with Goodwood Home ("the Seller"). By submitting a purchase order or engaging in business with the Seller, the buyer ("the Buyer") accepts these Terms in full. Any deviation from or amendment to these Terms must be agreed to in writing by an authorized officer of the Seller. Verbal commitments or informal agreements shall have no legal effect unless formalized in a written document signed by both parties.

2. Custom Manufacturing and Made-to-Order Products

All products supplied by the Seller are made-to-order and manufactured specifically in accordance with the Buyer’s individual specifications, requirements, or commercial requests. The Seller does not maintain inventory of standard products. Accordingly:

  • Once a purchase order is confirmed and production has commenced, such orders are non-cancellable and non-refundable.

  • The Seller shall not be obligated to accept any request for cancellation, refund, return, or exchange unless expressly agreed to in writing.

  • Deposit payments or partial payments made towards any order shall be considered non-refundable and shall be applied toward the costs of materials, labor, testing, and other preparatory processes.

3. Delivery Terms and Incoterms 

Unless otherwise expressly stated in the invoice or written agreement, all shipments are made under FOB Semarang (Incoterms 2010). Under this term:

  • Risk and responsibility for the goods passes to the Buyer once the goods are handed over to the Buyer’s appointed freight forwarder, shipping agent, or carrier at the point of origin.

  • Any subsequent delays, regulatory interventions, compliance checks, customs inspections, or certifications required by the destination country fall under the full and sole responsibility of the Buyer.

4. Regulatory Compliance and Testing Requirements

Where the Buyer’s country of importation requires third-party compliance testing, quality assurance reports, certifications, or other formal procedures (including but not limited to governmental regulatory bodies or independent laboratories):

  • The Seller shall provide reasonable cooperation in submitting the goods for testing.

  • The cost of such testing (only when successful) shall be borne by the Buyer.

  • A failed compliance test that necessitates rework or re-manufacture of the goods shall not constitute grounds for cancellation, penalty, or refund. The cost of rework or re-manufacture will be paid by the manufacturer.

  • Any delay caused by third-party entities such as (but not limited to) government authorities shall be considered outside the Seller’s control and shall not impact the enforceability of payment or fulfilment terms.

5. Non-Compliance and Partial Shipments

In cases where part of an order does not meet applicable regulatory standards and must be reworked or corrected:

  • The compliant portion of the order shall be shipped separately, and the remaining portion shall be shipped at a later date upon compliance.

  • The Buyer shall not withhold payment or demand refund due to such partial delivery when it results from necessary regulatory rework.

6. Cancellation Attempts and Self-Issued Refund Claims

Any unilateral communication by the Buyer stating an intent to cancel, retract, or rescind an order after production has begun shall be deemed invalid unless expressly accepted in writing by the Seller. The following are not binding upon the Seller:

  • Self-issued cancellation letters or emails;

  • Bank certificates submitted for the purpose of requesting refund;

  • Unilateral declarations of refund entitlement or legal threat absent valid legal basis.

All payments received by the Seller shall be governed by the terms of the invoice, contract, and the provisions herein. No refund or compensation shall be due based on one-sided statements by the Buyer.

7. Storage and Disposal of Unclaimed Goods

If, after reasonable notice, the Buyer fails to confirm shipment or accept delivery of completed goods:

  • The Seller reserves the right to offload the products from packaging, reassign them to internal storage, and remarket or resell them at its sole discretion.

  • The Buyer shall remain liable for any unpaid balances, storage fees, and all costs incurred prior to reassignment.

8. Dispute Resolution and Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Indonesia. Any disputes arising from the interpretation, performance, or enforcement of these Terms shall be subject to the exclusive jurisdiction of the courts in Indonesia.

9. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10. Final Acknowledgement

By confirming an order, submitting a deposit, or instructing the Seller to commence production, the Buyer affirms full understanding and agreement to these Terms, and waives any future claim based on misinterpretation, omission, or commercial disagreement outside the boundaries of this document.
